Terms of Service

These terms are written for the actual Planerix product flow: demo access, free self-serve onboarding, paid upgrades, AI assistance, team execution, notifications, CRM, and later connector-based activation.

Operational summary

Starter can be used without external integrations for organization setup, team invites, OKR, projects, tasks, calendar, notifications, AI assistance, and manual CRM.

Paid upgrades may unlock additional seats, connectors, richer AI access, finance and attribution surfaces, automation, and dedicated data-plane allocation.

Enterprise customers may operate under additional order forms, security appendices, or statements of work.

1. Agreement and scope

These Terms of Service govern access to Planerix, including the self-serve starter workspace, the paid Pro and Enterprise product surfaces, AI assistance, notifications, support channels, and connected workspace functionality made available at app.planerix.com.

By registering, accessing a demo workspace, inviting other users, or using any Planerix service, you agree to these Terms on behalf of yourself and, when applicable, on behalf of the organization you represent.

2. Accounts, organizations, and workspace ownership

A registered user may create or join an organization workspace. The first verified user who creates an organization becomes its initial owner until ownership is reassigned through the product or an approved support process.

You are responsible for maintaining the confidentiality of your credentials, enforcing appropriate internal access controls, and ensuring that invited users act within the authority granted to them by your organization.

  • protect passwords, tokens, and mailbox access used for authentication
  • remove access for users who no longer need the workspace
  • use the platform only for lawful business purposes

3. Service plans: Starter, Pro, and Enterprise

Planerix may offer different service tiers, including a free or low-touch Starter experience, a paid Pro plan, and Enterprise packages with expanded integrations, AI modules, data-plane isolation, custom widgets, and operational support.

Feature availability is controlled by plan, tenant settings, feature flags, and packaged access bundles. Some modules visible in demo or enterprise environments may not be available in Starter until the workspace upgrades.

  • Starter is intended for first value with manually created execution data
  • Pro unlocks broader limits, commercial controls, and connector activation paths
  • Enterprise may include custom integrations, dedicated data infrastructure, and tailored enablement

4. Billing, trials, upgrades, and renewals

Paid subscriptions may be billed by Planerix directly or through an authorized billing provider. Trialing, active, past due, cancelled, or manual billing statuses shown in the product are part of the operational subscription record.

Upgrades may change user limits, AI access, integration availability, data-plane allocation status, and commercial support handling. Downgrades or cancellations may reduce feature access at the end of the applicable billing period.

  • all fees are payable in the currency and cadence shown in the billing flow or commercial order
  • you authorize Planerix or its billing provider to charge the applicable subscription fees
  • unless otherwise agreed in writing, paid plans renew automatically until cancelled
  • custom enterprise statements of work or order forms override conflicting commercial details in these public terms

5. Data, integrations, and dedicated tenant environments

You retain ownership of your organization data. Planerix may process, store, transform, and display that data as required to provide the product, including execution views, CRM, notifications, AI features, analytics, integrations, and support operations.

Starter workspaces may begin in a shared control and data environment. Pro and Enterprise activation may trigger dedicated tenant database allocation, connector provisioning, ETL orchestration, or workspace-specific data-plane configuration.

  • you are responsible for the legality and accuracy of data you import or enter manually
  • you must hold the necessary permissions to connect third-party systems and share their data with Planerix
  • Planerix may temporarily limit or disable integrations that are misconfigured, insecure, or abusive

6. AI features and automated assistance

Planerix may provide AI-generated summaries, recommendations, risk signals, action drafts, or automated workflows. AI output is assistive and should be reviewed by the responsible user before it is relied upon for financial, legal, staffing, customer, or operational decisions.

AI actions, prompts, memory, or usage may be subject to plan-specific limits, approval flows, audit logging, and workspace-level feature controls.

  • do not rely on AI output as a substitute for professional legal, tax, accounting, or regulatory advice
  • review AI-created tasks, messages, automation steps, and recommendations before execution
  • do not submit unlawful, abusive, or rights-infringing content into AI features

7. Acceptable use and prohibited conduct

You may not use the service in a way that disrupts the platform, violates applicable law, harms other users, or attempts to bypass security, rate limits, subscription controls, tenant isolation, or access restrictions.

  • reverse engineering, scanning, or attempting to gain unauthorized access
  • sending malware, abusive content, spam, or deceptive communications
  • using the platform to infringe intellectual property, privacy, or contractual rights
  • attempting to exfiltrate data across organizations or workspace boundaries
  • reselling or sublicensing the service except where expressly authorized in writing

8. Availability, support, and changes to the service

Planerix works to keep the service available and secure, but the public service is provided on a commercially reasonable basis. Maintenance windows, third-party outages, infrastructure incidents, feature deprecations, and security actions may affect availability.

Support channels, onboarding assistance, response expectations, or success coverage may differ by plan and by commercial agreement.

9. Intellectual property

Planerix and its licensors retain all rights, title, and interest in the software, interfaces, design system, content, documentation, trademarks, and underlying service technology, excluding customer-owned data and content lawfully submitted by customers.

You receive a limited, non-exclusive, non-transferable right to use the service during the applicable subscription term and in accordance with these Terms.

10. Confidentiality and security

Each party will protect the other party's non-public confidential information using reasonable care. Planerix implements technical and organizational measures designed to protect customer data, but no service can be guaranteed to be perfectly secure.

You are responsible for internal workspace governance, user provisioning, device hygiene, and the secure use of external systems connected to Planerix.

11. Suspension and termination

We may suspend or restrict access if required to protect the platform, other customers, or third parties, including in cases of non-payment, abuse, repeated security issues, legal violations, or attempts to bypass plan or tenant controls.

You may stop using the service at any time. Termination does not relieve you of payment obligations already incurred, and some records may be retained where required for security, billing, compliance, or legal reasons.

12. Disclaimers and limitation of liability

Except as expressly stated in a written enterprise agreement or where prohibited by law, the service is provided "as is" and "as available". Planerix disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Planerix is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, goodwill, data, or business opportunity arising from use of the service.

Any aggregate liability of Planerix arising out of these Terms is limited to the fees paid by the customer for the service during the twelve months preceding the event giving rise to the claim, unless a different cap is required by mandatory law or a separately negotiated agreement.

13. Governing law and contact

These Terms are governed by the laws applicable in the Republic of Poland, unless a mandatory law requires a different rule or a separate written agreement specifies otherwise.
